Andrew’s clients rely heavily on his judgment and advice and his in-depth involvement and hands-on approach. For matters requiring specialized legal support, the Firm brings together the right legal talent and expertise to serve each client and each matter under Andrew’s leadership. The Firm has arrangements with selected law firms providing Andrew and his clients with the services of high quality lawyers in specialized legal fields, such as tax planning and structuring (including U.S. and international taxes), real estate, litigation and arbitration and intellectual property. Andrew involves these lawyers as needed. This bespoke approach enables the Firm to involve, on any particular matter, the lawyers Andrew thinks are most appropriate rather than being limited to the lawyers at a given firm and the “one size fits all” approach of most law firms. In selecting such counsel Andrew takes into account all relevant factors, including expertise and pricing.
Andrew’s clients include large and small companies, private equity firms, investment bankers, start-up and early-stage companies, entrepreneurs and executives. A large number of his clients and transactions are in the marketing communications and technology fields, and, in addition, he has represented companies in a broad range of other industries.
Recent matters include representing a start-up joint venture in the health field, with the joint venturers including a large public company, a private equity firm and a well-known TV personality; representing a high profile marketing communications executive in a proposed agency restructuring and buyout; representing a technology company in a joint venture and licensing deal in China; and representing a major stockholder in a public company in financings and a capital restructuring.
With a wealth of experience representing emerging growth companies and their founders, Andrew counsels founders from inception of a business plan for a new enterprise through seed and venture capital raising, later-stage growth and, often, sale to a strategic or financial buyer. He assists in clients’ developing strategic relationships and financing, whether in funding from private equity firms, mature multinational businesses, other strategic and financial investors and others, as well as representing buyers and sellers from initial conception of a transaction through consideration of counter-parties, structuring, negotiations and closing.
Over the last number of years, Andrew has devoted substantial resources focusing on acquisitions of and investments in U.S. companies by Chinese companies and high net worth individuals, and in particular, developing a substantial number of relationships to access Chinese parties in such transactions. [Examples of fields drawing particular attention are healthcare, including medical devices, pharmaceuticals, health care facilities, clean tech, digital technology, gaming, real estate and specialty manufacturing equipment. However, transactions also take place in many other fields; for instance, consulting and other service companies.]
Andrew has appeared on U.S. and Chinese television and internet broadcasts regarding U.S. acquisitions and investments by Chinese companies in the U.S. He is also an author and frequent lecturer on these topics.
